Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and [[LEGAL_ENTITY]] ("Supervision", "we", "us", or "our"), the company that operates the supervisionvms.com website and offers the Supervision video management software. By creating an account, requesting early access, or downloading or using the software, you agree to these Terms. If you do not agree, do not use the website or the software.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. Early access software

Supervision is offered on an early access (pre-release) basis. This means:

  • The software is under active development and may contain bugs, incomplete features, or behavior that changes without notice.
  • Features may be added, changed, or removed at any time, and early access may end at any time.
  • The software is provided for evaluation and production use is at your own risk. You are responsible for validating that it meets your needs before relying on it.

3. Accounts and eligibility

To access downloads you create an account with your name, email address, and optionally your company. You must provide accurate information and keep your access credentials secure. You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. You are responsible for all activity under your account. Notify us at hello@bipolarfactory.com if you believe your account has been compromised.

4. Self hosted software and your responsibilities

Supervision is self hosted. You install and run the server and desktop application on hardware you own or control. Your cameras, recordings, footage, camera credentials, user accounts on your server, and all related data stay on your infrastructure. We do not host, receive, access, or store your video, recordings, or camera credentials.

Because you operate the system, you are solely responsible for:

  • The lawful and appropriate use of surveillance, recording, and monitoring, including obtaining any consents and posting any notices required by law (see our Acceptable Use Policy).
  • Securing your server, network, storage, backups, and the physical premises where footage is kept.
  • Configuring retention, access roles, and permissions appropriately for your organization.
  • Compliance with all laws that apply to your cameras, recordings, and the people they capture.

5. Acceptable use

Your use of Supervision is subject to our Acceptable Use Policy, which is incorporated into these Terms. Use of the desktop and server software is also subject to the End User License Agreement. In the event of a conflict between these Terms and the EULA regarding the software license, the EULA governs for that subject.

6. Intellectual property and license

The Supervision software, the website, and all related trademarks, logos, text, and design are owned by [[LEGAL_ENTITY]] or its licensors and are protected by intellectual property laws. Subject to these Terms and the EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the software for your internal purposes during early access. All rights not expressly granted are reserved. The software includes third party open source components licensed under their own terms; see the EULA for details.

7. Fees

Supervision is provided free of charge during early access. We may introduce paid plans in the future; if we do, we will give you notice and you may choose whether to continue. No credit card is required to participate in early access.

8. Third party services

The website relies on third party providers to function, including Cloudflare (hosting, content delivery, and edge functions) and Resend (delivery of verification emails). Their handling of data is described in our Privacy Policy. We are not responsible for third party services, and your use of them may be subject to their terms.

9. Disclaimer of warranties

THE WEBSITE AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR FREE, SECURE, OR THAT IT WILL CAPTURE OR RETAIN ANY PARTICULAR FOOTAGE. YOU ASSUME ALL RISK ARISING FROM YOUR USE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL [[LEGAL_ENTITY]] OR ITS OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, FOOTAGE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE OR WEBSITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) [[LIABILITY_CAP_AMOUNT]]. Because Supervision is self hosted and free during early access, this amount may be zero. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless [[LEGAL_ENTITY]] and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the software, your footage and recordings, your violation of these Terms or the Acceptable Use Policy, or your violation of any law or the rights of any third party, including any person captured by your cameras.

12. Term and termination

These Terms apply while you use the website or software. You may stop using them at any time and may ask us to delete your account data (see the Privacy Policy). We may suspend or terminate your access to the website, downloads, or early access at any time, with or without cause. Because the software is self hosted, terminating your account does not disable software already installed on your hardware; the EULA governs your continued use of it.

13. Changes

We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, take reasonable steps to notify you. Continued use after changes take effect means you accept the revised Terms.

14. Governing law

These Terms are governed by the laws of [[JURISDICTION]], without regard to conflict of law rules. The courts located in [[JURISDICTION]] will have exclusive jurisdiction over any dispute, except where prohibited by applicable law.
